Among our clients are purchasers of businesses, sellers of businesses, business owners seeking merger candidates and business owners applying for lines of credit. In addition, Schonfeld & Weinstein, L.L.P. represents businesses seeking to factor their inventory, equipment or accounts receivable. We have also represent lenders, factors and mortgagors.
On behalf of our business and corporate clients, we advise on general corporate matters and negotiate, draft and close various business agreements and instruments including shareholder and operating agreements; employment, termination and severance agreements; exclusivity, confidentiality and non-disclosure agreements; license agreements; UCC and other security agreements; joint venture agreements; loan agreements and promissory notes; and third-party legal opinions.
Clients range from start-ups to multi-million dollar corporations, and are involved in various industries such as health care, manufacturing, securities, real estate, medical supplies, computer technology, and hospitality. We serve as general corporate counsel for many of our clients, while representing others in securities transactions such as public offerings, private placements, mergers, acquisitions, reverse mergers and asset purchases.
Many of our corporate clients are seeking to raise funds, either through private or public offerings. We assist these companies by drafting private placement memoranda, preparing state “blue sky” filings, drafting registration statements to be filed with the Securities and Exchange Commission, and preparing other SEC filings. We help clients structure the offerings and determine whether to issue equity or debt securities. We also represent clients in reverse mergers, corporate “shell” company transactions, and draft and file all necessary agreements and forms, as well as perform due diligence on companies to be acquired. We help clients apply for listing on national stock exchanges and over-the-counter platforms. Our attorneys are familiar with state and Federal securities laws such as the Securities Act of 1933, the Securities Exchange Act of 1934, and the JOBS Act.
Schonfeld & Weinstein, LLP represents both purchasers and sellers of residential and commercial properties throughout the tri-state area. We assist clients in refinancing their properties and applying for mortgages and home equity loans. We draft real estate contracts and perform due diligence on co-op corporations. Our clients include both landlords and tenants involved in leasing real property, as well as co-op boards and co-op members. We have also represented several large banking institutions including Commerce Bank and ABN Ambro Mortgage Group. Schonfeld & Weinstein, L.L.P. has conducted numerous real estate and business closings in New York City, as well as Westchester, Rockland, Nassau, Suffolk and Ulster counties.
Our firm represents many estates throughout the country. We file petitions for Letters of Administration and Letters Testamentary, and assist Administrators and Executors dispose of estate assets, including real property. We have drafted Wills, Living Wills and Health Care Proxies for many of our clients.
